Standard Terms for Consulting Engagements

Billing and Payment

Invoices will be sent bi-weekly.
Payment is due within 10 days of receipt.
Late payments may incur a 5% late fee per month.
Credit card payments will incur a 3% minimum processing fee.

Service Agreement

A signed service agreement defining the scope, timeline, and deliverables is required before commencing services.
Project specific rates are available upon request and subject to scope specific negotiation and consultant availability.
Terms of service will be reviewed and agreed upon with each client.

Confidentiality

Client confidentiality is at the core of our services. We hold the name and scope of our client projects in confidence at all turns unless otherwise agreed for promotional purposes.
Non-disclosure agreements (NDAs) will be signed as necessary based on the proposed scope of work upon the request of either the client or consultant.

Cancellations and Rescheduling

Appointment, meeting cancellations, or rescheduling must be communicated at least 48 hours in advance.
Late cancellations may incur a 50% cancellation fee unless covered by a retainer agreement otherwise.

Liability

All services provided on an as-is basis. Client takes full responsibility for any actions taken that may or may not rely on services rendered by consultant.
Alpha Returns Consulting is not liable for any indirect, incidental, or consequential damages arising from the services provided.
Liability, if determined to be at fault by the consultant, notwithstanding the above restrictions, is limited to the amount paid for services rendered.

Indemnification

Client agrees to indemnify the consultant for any and all matters that may arise connected to the performance of consulting services.
Client agrees to provide reimbursement of reasonable attorney’s fees in connection with any court or legal proceeding in which the consultant must become involved.
